Corporate Social Responsibility Private Law And Global Supply Chains

Current debate surrounding social responsibility has neglected to fully comprehend the important role of national private law in achieving socially responsible conduct in business.

Corporate Social Responsibility has for long been on the agenda in the business world and recently, it has also become a political agenda in the European Union. Focusing on international supply chains and their control based on studies of law in several European jurisdictions, this book aims to advance the discussion on the application and enforcement of CSR. Drawing parallels to US and Canadian law, the book explores to what extent private law tools can be used as an enforcement device and it ultimately asks if what we are witnessing is the formation of a new area of law, employing the interplay of contract and tort – a law of "production liability", as a corollary of the concept of "product liability".

This book attempts to clarify the social responsibility of business along global supply chains beyond mere profit maximisation as famously argued by Milton Friedman. In this context, corporate social responsibility (CSR) is understood as the responsibility of business to align corporate policies and procedures with commonly accepted ethical standards and to respect stakeholders’ rights in day-to-day business. As such, CSR is by no means voluntary but constitutes a fundamental prerequisite for companies to keep their license to operate for sustainaable growth and survival in an ever more competitive global market. Inspired by Germany' recent efforts to regulate global supply chains, Germany's Due Diligence Act is analysed in terms of its potential and limitations to promote responsible business practices and complemented by alternative approaches for more co-responsibility of business globally.

This book provides a critical socio-legal study that brings together the latest scholarly advances on corporate social responsibility, and, at the same time, addresses the pressing issue of corporate liability for harmful acts across the supply and production chains. Corporations have seldom been held responsible and virtually never liable for the acts of their subsidiaries and subcontractors. Actors as different as workers, investors, individual consumers, and shareholder activists claim that corporations should accept greater responsibility for communities and environments affected by their activities. The book argues that a global value chain's head corporations remain immune to any liability because of the 'economically dependent-legally independent' relationships between core corporations and their periphery suppliers and subcontractors. To tackle this problem, globally, the author acknowledges that 'we' as a society need to reduce the economic dependence as described above – which is far too excessive – by ensuring a level playing field both economically and socially. More concretely, she argues that in order to realise transnational corporate liability, 'we' as lawyers need to find a way (or ways) to establish legally effective relationships between head corporations and their economically dependent entities. Readers of this book will be able to export the concept of corporate social liability, developed in the context of value chains, and apply it to other contexts involving corporate activities where they need to tackle unrestrained corporate freedom and make global businesses responsible and socially useful.

Management of social issues in supply chain is increasingly becoming challenging and complex. The major challenges for a firm to counter social issues come from both internal and external stakeholders. Thus, firms adopt strategies which, while meeting the stakeholder demands also ensure performance improvements. Corporate social responsibility (CSR) is adopted by the firms to address social and societal issues while achieving performance in their supply chains. Supplier development (SD) by the virtue of bringing performance improvement is a core element in implementing CSR. However, research at the intersection of CSR, Supply Chain Management (SCM) and supplier development rarely give insights into the interactions between economic and social performance in supply chains.

The main aim of this dissertation is to bring three different streams of literature (CSR, SCM and SD) and provide conceptual and empirical insights while investigating the role of SD as CSR in achieving performance improvements. Firstly, a conceptual framework based on the literature review is proposed providing more in-depth comprehension of CSR in supply chain. Secondly, based on the previous framework, a conceptual framework focusing on supplier development is proposed adding to the understanding of buyer-supplier relationships and its impact on performance outcomes. Finally empirical investigations into the Dairy supply chain in India using the constructs from these two frameworks, provide insights into the role of SD as CSR. Thus, this dissertation provides insights into the management of social issues in supply chains and makes valuable contributions at the intersection of CSR, SCM and SD.

This book addresses the increasing overlap between Corporate Social Responsibility (CSR) and law with a particular focus on company law and corporate governance. This book investigates the legal measures that multinational companies in the Netherlands, England and California take to govern corporate social responsibility aspects of their supply chains and the legal implications these measures have in terms of contract and liability law.

The book first discusses the concepts of corporate governance and corporate social responsibility (CSR) and provides a new framework to deal with these issues in the context of sustainability. It then explores the requirements of "an end state of global sustainability" and subsequently moves to a detailed analysis of the current governance regime, delving into the CSR-related liabilities and incentives at stake for both corporations and their directors. It concludes with a framework suggesting that there are four normative avenues for addressing environmental and social imperatives in company law, which helps reflect on how to tackle the "potentiality for a sustainability gap" in corporate governance and CSR. The author always discusses practical realities and incentives, at both the policy and corporate levels, in addition to theoretical aspects. The thesis on which this book is based received the distinction "Summa Cum Laude" and the 2023 Law Faculty Prize from the University of Lausanne. Dr Christophe George is a Research Associate at the Centre for Business Research in the University of Cambridge. He holds a PhD in Company Law and Management from the University of Lausanne, a Master of Law (LLM) from the University of Cambridge, a Master in Management from Harvard University, and a Master in Law and Economics from HEC Lausanne.

This book addresses one of the core challenges in the corporate social responsibility (or business and human rights) debate: how to ensure adequate access to remedy for victims of corporate abuses that infringe upon their human rights. However, ensuring access to remedy depends on a series of normative and judicial elements that become highly complex when disputes are transnational. In such cases, courts need to consider and apply different laws that relate to company governance, to determine the competent forum, to define which bodies of law to apply, and to ensure the adequate execution of judgments. The book also discusses how alternative methods of dispute settlement can relate to this topic, and the important role that private international law plays in access to remedy for corporate-related human rights abuses. This collection comprises 20 national reports from jurisdictions in Europe, North America, Latin America and Asia, addressing the private international law aspects of corporate social responsibility. They provide an overview of the legal differences between geographical areas, and offer numerous examples of how states and their courts have resolved disputes involving private international law elements. The book draws two preliminary conclusions: that there is a need for a better understanding of the role that private international law plays in cases involving transnational elements, in order to better design transnational solutions to the issues posed by economic globalisation; and that the treaty negotiations on business and human rights in the United Nations could offer a forum to clarify and unify several of the elements that underpin transnational disputes involving corporate human rights abuses, which could also help to identify and bridge the existing gaps that limit effective access to remedy. Adopting a comparative approach, this book appeals to academics, lawyers, judges and legislators concerned with the issue of access to remedy and reparation for corporate abuses under the prism of private international law.
